1. Acceptance of Terms

By accessing or using GraftPal ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not use the Service. These Terms apply to all users, including visitors, registered users, and paying subscribers.

2. Description of Service

GraftPal is an all-in-one business platform for freelancers and service businesses, providing CRM, invoicing, proposals, scheduling, client portals, and marketing tools. Features and functionality may change as we continue to develop the platform.

3. Account Registration

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information and to keep your account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4. Subscriptions & Billing

• The Starter plan includes a 14-day free trial.
• Professional and Business plans begin billing immediately upon subscription.
• Subscription fees are billed monthly or annually, depending on the plan you choose.
• You may upgrade, downgrade, or cancel your plan at any time. Changes take effect at the start of your next billing cycle.
• All fees are quoted in AUD (A$) and are exclusive of applicable taxes (including GST) unless stated otherwise.
• We reserve the right to change pricing with 30 days' notice.

5. Your Data

You retain all rights to the data you input into the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to use Your Data solely for the purpose of providing and improving the Service. You can export or delete Your Data at any time.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to any part of the Service
• Transmit malicious code, spam, or harmful content
• Resell or redistribute the Service without our written consent
• Interfere with or disrupt the integrity or performance of the Service

7. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by GraftPal and protected by intellectual property laws. You may not copy, modify, or reverse-engineer any part of the Service without our prior written consent.

8. Availability & Support

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. Support is available via email during business hours (Mon–Fri, 9 AM – 6 PM GMT).

9. Limitation of Liability

To the maximum extent permitted by law, GraftPal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from your use of the Service. Our total liability under these Terms is limited to the amount you have paid us in the 12 months preceding the claim.

10. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your account if you violate these Terms or engage in activity that harms the Service or other users. Upon termination, your right to access the Service will cease, but we will retain Your Data for a reasonable period to allow for retrieval.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
